Host Platform Terms & Conditions

Document 1 of 2 — Please read carefully before joining the Aurent platform. Your acceptance is required to proceed.

IMPORTANT: This document governs your legal relationship with Aurent LLC as a Host on the platform. By clicking "I Accept" during registration, you agree to be legally bound by all provisions herein. This document must be read together with Document 2 (Host Data Form), which together form the complete Host Agreement.

1. The Parties

This agreement is entered into between:

AURENT LLC ("Aurent")
A U.S.-based technology company that operates an online platform providing digital tools for Hosts and Guests to connect and manage licensed spaces for temporary residential use.

THE HOST ("You" or "Host")
The natural or legal person registering as a Host on the Aurent platform, acting as the owner or authorized property manager of one or more properties to be listed for temporary residential licensing purposes. Your full identity and property details are provided in Document 2 — Host Data Form.

2. Definitions

For full definitions, refer to Aurent's Terms of Service: aurent.online/terms.html

  • "Platform" means the Aurent digital infrastructure, website, and associated tools.
  • "Guest" means any individual who licenses a space through the Platform.
  • "Host" means the property owner or authorized manager listing properties on the Platform.
  • "Licensed Space" means the room or property unit made available under a license agreement.
  • "Guarantee Deposit (GD)" means the security amount collected and managed exclusively by the Host.
  • "PSP" means the independent third-party Payment Service Provider integrated with the Platform.
  • "Designated Channels" means the communication tools provided and designated by Aurent for Host-Guest interaction.
  • "Experience Period" means the initial period defined in Aurent's Terms of Service during which Guests may assess their accommodation.

3. Your Role as Host

You confirm that you will act in one of the following capacities:

3.1 Landlord
The legal owner of the property, bearing full responsibility for legal compliance, financial obligations, structural maintenance, and all regulatory requirements applicable to the property.

3.2 Property Manager
An authorized representative of the Landlord, responsible for day-to-day operational management of the property, including Guest coordination, maintenance, and compliance with House Rules. The Property Manager acts under a mandate from the Landlord and cannot exceed the authority granted by the Landlord.

You will select your role in Document 2. If no Property Manager is assigned, all operational responsibilities default to the Landlord.

4. Purpose of This Agreement

This Agreement establishes the commercial and operational framework between Aurent and the Host for the listing, promotion, and facilitation of temporary residential licensing of spaces through the Aurent Platform. Aurent operates exclusively as a technology intermediary — it does not own, manage, or bear responsibility for any listed property.

The Host authorizes Aurent to: (i) publish and promote property listings on the Platform and affiliated marketing channels; (ii) facilitate identity verification and booking processes for prospective Guests; (iii) integrate with the designated PSP for payment processing; and (iv) provide operational support tools throughout the Guest lifecycle.

5. Aurent's Services

  • Publication of property listings on the Platform and strategic reposting across commercial channels to maximize visibility.
  • Generation of qualified leads from prospective Guests through targeted digital marketing campaigns.
  • Management of booking requests from initial inquiry through confirmation, including facilitation of background checks.
  • Routing of all Guest inquiries through the Platform and Designated Channels to ensure a consistent and trackable experience.
  • Provision of a 24/7 Guest support service, triaging issues during stays.
  • Monthly settlement statements issued through the PSP, detailing all transactions.
  • Provision of a Condition Report Form accessible to Guests within 72 hours of check-in.

Aurent does not guarantee featured listings, exclusive visibility, or placement rankings on the Platform or any third-party portal. Visibility is determined by Aurent's internal operational and commercial criteria.

6. Onboarding & Property Listings

Upon acceptance of this Agreement, the Host must:

  • Provide high-quality marketing materials including photographs, videos, and detailed property descriptions, in compliance with Aurent's specifications, prior to the listing going live.
  • Complete an inventory report for each property, documenting condition, furnishings, fixtures, and any pre-existing damage.
  • Respond to all inquiries from prospective Guests and maintain quality standards in customer service, including the coordination of property visits.

If the Host fails to provide required documentation within the specified timeframe, Aurent reserves the right to terminate this Agreement immediately and without prior notice.

For security reasons, photographs of the property's exterior and precise address details may not be uploaded to the Platform.

7. Reservation Process

7.1 Reservation Request & Advance Payment
Guests must submit reservation requests through the Platform, subject to Aurent's identity verification parameters. A payment covering the first 14 nights is required from the Guest to confirm a reservation.

7.2 Host Approval
Upon notification of a pending reservation, the Host must review and respond within 24 consecutive hours. Failure to respond within this window grants Aurent the sole discretion to treat the reservation as accepted, rejected, or to offer alternative listings to the Guest.

7.3 Confirmation
Upon Host approval, the reservation is confirmed and the Host is legally obligated to honor its terms. Reservation confirmations are delivered via email and are legally valid without further notification through other channels.

7.4 Payment Method
All payments must be processed exclusively through the PSP integrated with the Aurent Platform. Direct payments to the Host made outside the PSP will not be recognized as valid under this Agreement.

8. Check-In, Stay & Check-Out

8.1 Check-In
The valid check-in date is that specified in the check-in form, which must be completed up to 24 hours before the start date. The Host must ensure check-in times are clearly defined in the House Rules and communicated to all Guests.

8.2 Experience Period
The Host agrees to adhere to the Guest Experience Period provisions set forth in Aurent's Terms of Service, Section 6. Refer to: aurent.online/terms.html

8.3 Check-Out
The Host is responsible for ensuring the Guest vacates in the same condition as at move-in. The Host has up to five days post check-out to notify the Guest of Guarantee Deposit deductions through Aurent's designated channels, with itemized descriptions and amounts. Failure to notify within this period requires full refund of the Guarantee Deposit.

9. Payments, Fees & Settlement

All payment processing, collection, and settlement is carried out exclusively by the PSP. Aurent does not hold client funds or operate custodial accounts.

9.1 Settlement
The PSP will transfer settlement payments to the Host on or before the 10th day of each month, accompanied by a detailed transaction statement.

9.2 Aurent's Fee Structure
Aurent charges a percentage fee of the total license fee per space, plus a one-time Initial Fee equivalent to a specified number of nights. Fee rates and plan details are confirmed in Document 2.

9.3 Guarantee Deposit
The Guarantee Deposit is collected, managed, and refunded exclusively by the Host. Aurent bears no responsibility for its handling.

9.4 Defaulting Guests
The Host is solely responsible for managing Guests who fail to meet payment obligations, including initiating eviction procedures where necessary.

9.5 International Payments
Payments to Australian bank accounts incur no additional fees. International bank accounts are subject to applicable administrative fees.

10. Invoicing & Tax Obligations

The Host is solely responsible for issuing invoices to Guests, meeting all applicable GST, VAT, or other tax obligations, and maintaining accurate financial records.

11. Exclusivity & Non-Circumvention

11.1 Exclusivity
From the moment the first reservation is confirmed, the Host grants Aurent exclusive rights to license and manage the property.

11.2 Non-Circumvention
The Host agrees not to bypass Aurent by entering into direct license agreements with any Guest introduced through the Platform. Any attempt to do so will be treated as a material breach, subject to a penalty of AUD $1,500.

12. Property Standards, Maintenance & Compliance

12.1 Safety Requirements — Functional fire detection systems, safe electrical installations, clearly marked emergency exits, appropriate safety barriers, and valid safety certifications.

12.2 Maintenance Response — Resolve all maintenance issues within 48 hours. Critical safety failures within 72 hours. Urgent repairs: Guest may coordinate directly after Aurent's approval, Host must reimburse up to AUD $300 within 15 business days.

12.3 Occupancy Limits — Maximum unrelated paying households: VIC/QLD/SA/ACT/NT: 3 | NSW/TAS: 4 | WA: 5. Compliance rests solely with the Host.

13. Liability & Indemnification

13.1 Host's Responsibility — Full responsibility for management, maintenance, legal compliance, safety, and adequate insurance coverage.

13.2 Aurent's Limitation — Aurent operates as a digital technology intermediary governed by the laws of Delaware, USA. Aurent shall not be liable for damages, disputes, inaccuracies, or PSP errors.

13.3 Force Majeure — Neither party liable for events beyond reasonable control.

13.4 PSP Indemnification — The Host agrees to indemnify and hold Aurent harmless from PSP-related claims.

14. Communication & Intermediation

All communications must be conducted through Aurent's Platform and Designated Channels. The Host must immediately notify Aurent of significant events affecting the property, bookings, or this Agreement.

15. Term & Termination

15.1 By the Host — 30 days' prior written notice required.

15.2 By Aurent — Immediate for material breach; 10 calendar days' notice without cause.

15.3 Penalty — AUD $1,500 for non-compliance with notice period.

16. General Provisions

16.1 Governing Law — Laws of the State of Delaware, United States. Exclusive jurisdiction of Delaware courts.

16.2 Modifications — Aurent may modify terms at any time. Continued use constitutes acceptance.

16.3 Severability — Invalid provisions do not affect remaining terms.

16.4 Sworn Declarations — All documentation submitted by the Host is deemed a sworn declaration.

16.5 Electronic Signature — Electronic signatures hold the same legal validity as handwritten signatures.

16.6 Third-Party Rights — Enforceable only by Aurent and the Host.

ACCEPTANCE OF TERMS
By clicking "I Accept" you confirm that: you have read and understood these Terms & Conditions in their entirety; you agree to be legally bound by all provisions; Document 2 (Host Data Form) must be completed in your My Account portal to generate the full Host Agreement; you have the authority and legal capacity to enter into this Agreement.
